About Darya

Darya has significant experience in contract drafting as well as corporate and intellectual property litigation.   Darya’s practice includes preparation of complex corporate documents including company bylaws, stockholder and operating agreements, merger and partnership agreements, and corporate resolutions.  Darya also structures and drafts various commercial contracts such as licenses, distribution agreements, nondisclosure and non-competition agreements, employment, work for hire, and confidentiality agreements, end user license agreements (EULAs), record and management contracts, and film location agreements. 

As a litigator, Darya has pursued and defended numerous intellectual property litigations including claims for trademark and copyright infringement, unfair competition, dilution, false advertising, and trade secrets for clients in the film, music, media, photography, software, gaming, clothing and textile, literature, technology, internet development, and investment industries.  Darya has also vigorously pursued shareholder derivative suits, as well as other claims involving company directors in regards to corporate mismanagement and waste. 

Darya effectively provides services relating to copyright and trademark registration, protection of trade dress, trade secrets, and branding, and payment and collection of royalties, and specializes in corporate governance responsibilities of web-based companies.

Prior to joining Shelowitz & Associates, Darya worked as an associate in the Intellectual property, Media, and Entertainment Group of Barton, Barton & Plotkin, LLP and as a Court clerk for a New York Judge.  Darya was also an Articles Editor of the Hofstra Labor & Employment Law Journal, widely regarded as one of the premier authorities in the fields of labor and employment law and as one of the preeminent specialty journals in the U.S.
